    Fixed-Scope Development Addendum

    How This Addendum Works

    This Web Application Development Addendum is part of our main Agreement and provides specific terms for "Turnkey" or "Fixed-Scope" projects. It works together with our Master Terms of Service (MTS) and your project’s Statement of Work (SoW). If there’s any conflict between this document and the MTS, the terms here will apply.

    This addendum is for building custom software with a clearly defined scope, deliverables, and features, as detailed in the SoW. For agile, retainer-based development, our Agile Development Retainer Addendum would apply.

    Our Development Process

    This is a fixed-scope project. The features and requirements are defined upfront in the SoW.

    • Handling Changes: Any request for new functionality or a change to an existing feature that goes beyond the original scope detailed in the SoW will be considered a "Change Request." We will handle this via a Change Order, as defined in the MTS.

    Testing & Accepting the Work

    Your approval is required to confirm the project is complete.

    • User Acceptance Testing (UAT): When we present the final Deliverable for your review, you will have a set period (as defined in the SoW) to test it and ensure it meets the agreed-upon requirements from the SoW.
    • Feedback:
      • A “Bug” is when the software doesn’t work as described in the SoW. We’ll fix these as part of the project scope.
      • A “Change Request” is a request for new functionality or a change to an existing feature that goes beyond the original scope.
    • Final Approval: If we don’t receive feedback from you within the review period, we’ll consider the Deliverable approved and the project complete.

    Technology & Intellectual Property

    • Technology Stack: The specific technologies we’ll use for your project will be outlined in your SoW.

    • Source Code & Ownership: As stated in our MTS, upon full and final payment, ownership of the custom code we created specifically for you (“Foreground IP”) is transferred to you, and we will provide you with access to the final repository.

    • Our Right to Showcase Our Work: We retain the right to display and link to the completed project in our portfolio and case studies. We will always respect any explicit confidentiality requests (e.g., not showing sensitive data).

    • Reusable Components (Our Background IP): To deliver value efficiently, we may use our own pre-existing code. We retain ownership of these components, and you receive a permanent, royalty-free license to use them as part of your project.

    30-Day Warranty

    • Warranty Period: For 30 days after the date of Final Approval, we provide a "bug-fix" warranty.
    • What it Covers: If you find any technical issues where the software does not function as described in the SoW, we will fix them free of charge.
    • Exclusions: This warranty does not cover issues caused by third-party services, server/hosting environments, or any changes you or another party make to the code after our handover.

    Exclusions

    This addendum covers the development of the web application itself. The following services are not included unless they are specifically detailed in your SoW:

    • Content Creation & Data Entry
    • Ongoing Hosting & Maintenance (covered by our Hosting & Maintenance Addendum)
