Agile Development Retainer Addendum

This Addendum is part of our main Agreement and provides specific terms for our "Agile Development" retainer. It works with our Master Terms of Service (MTS) and your Statement of Work (SoW). If there’s any conflict, the terms here apply.

This addendum is for retainer-based engagements where we provide a complete agile team (e.g., Product Owner, Scrum Master, and Developers) to build and evolve a product.

For management-only (PO/SM) services, our Agile Management Retainer Addendum would apply.

You are purchasing a monthly retainer that provides you with dedicated access to our team's time and services.

• No Fixed Scope: You are not purchasing a pre-defined list of deliverables. You are purchasing our team's time and a process designed to deliver the highest business value. The scope is represented by the Product Backlog, which is expected to evolve.
• Fees: Fees are billed monthly in advance, as a recurring retainer, at the rate specified in the SoW.

We build complex applications using an agile approach, working in focused Sprints to build, test, and get your feedback.

• The Roles: Your SoW will define the roles included (e.g., PO, SM, Developer).
• The Product Backlog: This is the prioritized list of all features, requirements, and tasks for the product, managed by the Product Owner.
• The Sprints: We’ll tackle the work in Sprints (typically 2 weeks).

In an agile retainer, work is accepted iteratively.

• Sprint Review: At the end of each Sprint, we will demonstrate the new, functional code.
• Continuous Acceptance: Your participation in the Sprint Review and subsequent use of the new functionality is considered acceptance of that work.

You receive ownership of the IP as it is paid for.

• Progressive Transfer: Upon our receipt of full payment for a given month's retainer invoice, all custom code and designs we created specifically for you ("Foreground IP") during that billing period become your property.
• Our Background IP: We retain ownership of all our pre-existing code, tools, and reusable components, and you receive a permanent, royalty-free license to use them as part of your project.

• No Fixed-Scope Warranty: This agreement does not include the 30-Day "bug-fix" warranty found in our Fixed-Scope Development Addendum.
• The Process is the Warranty: The agile process itself—with its small sprints, constant feedback, and iterative acceptance—is the mechanism for ensuring quality. Bugs are identified and prioritized as part of the normal backlog, just like new features. We promise all work will be performed with professional skill and care.

This addendum covers the agile development process. The following services are not included unless they are specifically detailed in your SoW:

• Product Owner, Scrum Master, or strategic management services. (These management and facilitation services are covered by our Agile Management Retainer Addendum.)
• Content Creation & Data Entry
• Ongoing Hosting & Maintenance (covered by our Hosting & Maintenance Addendum)
• Digital Marketing or business strategy.
