Agile Management Retainer Addendum

This Addendum is part of our main Agreement and provides specific terms for our “Agile Management” services. It works with our Master Terms of Service (MTS) and your Statement of Work (SoW). If there’s any conflict, the terms here apply.

This addendum is for retainer-based engagements where we provide ongoing agile project management services, such as Product Ownership and Scrum Master facilitation. This is not a fixed-scope project.

You are purchasing a monthly retainer that provides you with dedicated access to our management services as defined in the SoW.

• No Fixed Scope: You are purchasing a management process. The scope is represented by the Product Backlog, which is expected to change, evolve, and be reprioritized as the team builds and learns.
• Fees: Fees are billed monthly in advance, as a recurring retainer, at the rate specified in the SoW.
• Pro-Rated Billing: If the Services commence on a date other than the first day of a calendar month, the Retainer Fee for that initial month will be pro-rated based on the number of days remaining in that month.

We manage complex projects using an agile approach, working in focused cycles (often called “Sprints”) to ensure the team delivers value.

• The Roles:
  • Product Owner (PO): (As defined in the SOW) Manages the Product Backlog, prioritizes work, and is the key decision-maker.
  • Scrum Master (SM): (As defined in the SOW) Facilitates the agile process and removes impediments.
• The Product Backlog: This is the prioritized list of all features, requirements, and tasks for the product, managed by the Product Owner in our project tool (e.g., Jira). This is the single source of truth for all work.
• The Sprints: We’ll manage the work in Sprints (typically 1-2 weeks).
• The Ceremonies: Your retainer includes our participation in standard agile ceremonies (Planning, Daily Check-ins, Sprint Review, and Retrospective).

In an agile retainer, work is accepted iteratively.

• Sprint Review: At the end of each Sprint, the team will demonstrate the new functionality. This “Show & Tell” is the primary forum for feedback.
• Continuous Acceptance: Your participation in the Sprint Review is considered acceptance of the management work performed during that Sprint.

• Your Team's Code: All Intellectual Property created by your development team remains your property, as per your agreements with them.
• Our Deliverables: Upon our receipt of full payment for a given month’s retainer invoice, all management deliverables we created specifically for you (e.g., User Stories, Roadmaps, Reports) during that billing period become your property.

We promise to perform our services with professional skill and care. However, we are not the developers. We cannot provide a warranty on the code, and we are not liable for bugs, errors, or the technical performance of the code produced by your team or contractors. Our sole responsibility is the process and management of the work.

This addendum covers the agile management process. The following services are not included unless they are specifically detailed in your SoW:

• Writing, developing, or delivering functional or production-ready code. (This is a management-only service. Development services are covered by our Agile Development Retainer Addendum.)
• Content Creation & Data Entry
• Ongoing Hosting & Maintenance (covered by our Hosting & Maintenance Addendum)
• User Training (beyond the standard Sprint Review)
• Digital Marketing or business strategy.
