How This Addendum Works
This addendum sets the terms for our consultation, discovery, and strategy services. It applies when the primary goal of our engagement is to provide expert analysis, planning, and strategic recommendations, rather than to build a functional piece of software. It works together with our Master Terms of Service (MTS) and your project’s Statement of Work (SoW). If there’s any conflict between this document and the MTS, the terms here will apply.
The Goal: A Clear Path Forward
The purpose of a consultation phase is to lay a strong foundation for future development and business decisions. Our process is designed to explore your ideas, define requirements, and create a clear, actionable plan.
What We Do
We’ll facilitate workshops, conduct research, analyze requirements, and provide our expert guidance on technology, architecture, and project planning.
The Deliverables
The output of this phase is strategic documentation. This could include, as defined in your SoW:
- A Project Roadmap or Phasing Plan
- A Technical Specification or Architectural Diagram
- User Stories and a Feature Backlog
- A Final Discovery Report with our recommendations. It’s important to note that the deliverables for this phase are documents and advice, not a working application.
Ownership & Use of the Deliverables
- Our Process Stays Ours: The methodologies, frameworks, and tools we use to conduct our analysis are part of our “Background IP” and remain our property.
- The Final Report is Yours: Upon our receipt of full and final payment for the consultation services, you become the owner of the final, tangible deliverables (e.g., the PDF report, the user story document). You are free to use these documents as you see fit, whether that’s proceeding with us or taking them to another team.
Disclaimer of Outcome
We promise to perform our analysis and provide our recommendations with professional skill and care. However, we cannot guarantee any specific business outcome or success that may result from implementing our advice. The business decisions you make based on our recommendations are your own.
What's Not Included
Unless explicitly stated in the SoW for this phase, the following are not included:
- Development or Coding: Writing any functional or production-ready code.
- Graphic Design: Creating logos, branding, or final visual assets.
- Implementation: The execution of the recommendations is considered a separate project and would be governed by a different addendum (like our Fixed-Scope or Agile Development Addenda).
